1. Agreement to Terms

By accessing or using the Almacenamiento Eléctrico LATAM platform ("Service"), you agree to be bound by these Terms of Service ("Terms"). If you disagree with any part of these terms, you may not access the Service.

These Terms apply to all visitors, users, and others who access or use the Service.

2. Description of Service

Almacenamiento Eléctrico LATAM provides a comprehensive database and analytics platform for Battery Energy Storage System (BESS) projects across the Americas, including:

• Access to proprietary BESS project data
• Interactive maps and visualizations
• Analytics and reporting tools
• Data export capabilities (subscription-dependent)
• Market insights and updates

3. Data Ownership and Proprietary Rights

3.1 Proprietary Data

All BESS project data, analytics, reports, and information provided through the Service ("Data") is the exclusive property of Almacenamiento Eléctrico LATAM. The Data is protected by copyright, trade secret, and other intellectual property laws.

3.2 Prohibited Uses

You expressly agree that you will NOT:

• Resell or redistribute the Data in any form
• Use the Data in competing products or services
• Incorporate the Data into other software, databases, or information products
• Share access credentials with unauthorized third parties
• Scrape, extract, or automate data collection from the platform
• Reverse engineer or attempt to discover the source code or algorithms
• Create derivative works based on the Data for commercial purposes
• Remove or modify any proprietary notices or labels

3.3 Limited License

Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to:

• Access and use the Data for your internal business purposes only
• Generate reports and analyses for internal use
• Export data in accordance with your subscription tier

This license does not permit you to share, publish, or distribute the Data outside your organization without our prior written consent.

4. User Accounts

4.1 Account Creation

To access certain features of the Service, you must register for an account. You agree to:

• Provide accurate, current, and complete information
• Maintain and promptly update your account information
• Maintain the security of your password
• Accept responsibility for all activities under your account
• Notify us immediately of any unauthorized use

4.2 Account Types

Free Tier: Limited access to 100 random projects (USA + Chile), basic visualizations, limited exports

Pro Tier: Full access to 1,000+ projects, advanced analytics, unlimited exports, priority support

5. Subscription and Payment

5.1 Subscription Plans

Pro subscriptions are available on a monthly or annual basis. Pricing is displayed on our website and may change with 30 days' notice.

5.2 Payment

All payments are processed securely through Stripe. By providing payment information, you authorize us to charge the applicable fees to your payment method.

5.3 Refunds

Refunds are provided at our discretion. Monthly subscriptions may be canceled at any time, with access continuing until the end of the billing period.

5.4 Free Trial

New Pro subscribers may receive a 30-day free trial. You may cancel before the trial ends to avoid charges. After the trial, your subscription will automatically convert to a paid plan unless canceled.

6. Acceptable Use Policy

You agree to use the Service only for lawful purposes and in accordance with these Terms. You agree NOT to:

• Violate any applicable laws or regulations
• Infringe on intellectual property rights
• Transmit malicious code or viruses
• Attempt to gain unauthorized access to the Service
• Interfere with or disrupt the Service or servers
• Use the Service for any fraudulent or illegal activity
• Impersonate any person or entity

7. Intellectual Property

The Service and its original content, features, and functionality are owned by Almacenamiento Eléctrico LATAM and are protected by international copyright, trademark, patent, trade secret, and other intellectual property laws.

Our trademarks and trade dress may not be used without our prior written permission.

8. Termination

8.1 Termination by You

You may terminate your account at any time by contacting us at contact@storagelatam.com.

8.2 Termination by Us

We may terminate or suspend your account immediately, without prior notice, for:

• Breach of these Terms
• Misuse of proprietary data
• Fraudulent or illegal activity
• Non-payment of fees
• Any reason at our sole discretion

8.3 Effect of Termination

Upon termination, your right to use the Service will immediately cease. All provisions of these Terms that should survive termination shall survive, including ownership provisions, warranty disclaimers, and limitations of liability.

9. Disclaimer of Warranties

We do not warrant that:

• The Service will be uninterrupted, secure, or error-free
• The Data will be accurate, complete, or current
• Defects will be corrected
• The Service is free of viruses or harmful components

You use the Service at your own risk. We make no warranties about the reliability, suitability, or availability of the Data for any particular purpose.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, ALMACENAMIENTO ELÉCTRICO LATAM SHALL NOT BE LIABLE FOR:

• Any indirect, incidental, special, consequential, or punitive damages
• Loss of profits, revenue, data, or business opportunities
• Damages resulting from your use or inability to use the Service
• Damages resulting from unauthorized access to your account
• Damages resulting from errors or inaccuracies in the Data

Our total liability shall not exceed the amount you paid us in the 12 months preceding the claim.

11. Indemnification

You agree to indemnify and hold harmless Almacenamiento Eléctrico LATAM and its affiliates from any claims, damages, losses, liabilities, and expenses (including legal fees) arising from:

• Your use of the Service
• Your violation of these Terms
• Your violation of any rights of another party
• Your misuse of proprietary data

12. Governing Law and Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of Mexico, without regard to its conflict of law provisions.

Any disputes arising from these Terms or the Service shall be resolved in the courts of Mexico City, Mexico. However, we may seek injunctive relief in any jurisdiction to protect our intellectual property rights.

International Users: By accessing the Service from outside Mexico, you acknowledge that you are subject to these Terms and Mexican law.
